Master Subscription Agreement / Terms & Conditions for WhatBizz
1. Accepting of Terms
This Master Subscription Agreement (“Agreement”) contains the terms and conditions that govern your subscription to and use of the Services (as defined below). This Agreement is a contract between Define Digital Institute (“WhatBizz,” “we,” “us,” or “our”) and you, the user or the entity you represent.
WhatBizz (hereinafter referred to as the “Platform,” “Application,” or “WhatBizz”) is a client communication platform owned and operated by Define Digital Institute. This document is legally binding between you, the user (referred to as “you,” “your,” or “user”), and WhatBizz, setting forth the terms for accessing and using the platform and our related websites, services, applications, and content (collectively, the “Services”).
2. Eligibility to Use
If you are an individual using the Services for personal purposes, references to “you” refer to you as an individual, and you represent that you are at least 18 years old or have reached the age of majority in your jurisdiction. If you are using the Services on behalf of an organization, references to “you” apply to that organization, and you represent that you have the authority to bind the organization to this Agreement.
By accessing the Platform or clicking “I Accept” or similar, you agree to the terms outlined in this Agreement.
3. Services Provided
The WhatBizz Platform integrates with WhatsApp Business API to offer features including:
- Broadcast and Bulk Messaging
- Unified Communication Channel for Teams
- 24/7 Automated Chat Assistance (ChatBot)
- Detailed Productivity Reports
4. Conversation Charges
Charges for conversations are determined by Meta Platforms, Inc. Any updates or pricing changes by Meta will directly affect the charges. WhatBizz reserves the right to adjust charges accordingly and is not liable for disruptions caused by changes in WhatsApp Business API policies.
5. Subscription Plans
Users must choose a subscription plan and agree to pay the applicable fees. Payment terms include:
- Fees are payable on a monthly, quarterly, or annual basis within seven days of invoice issuance.
- Subscriptions automatically renew unless canceled in writing.
- Fees are non-refundable except as expressly provided in this Agreement.
6. Cancellation and Refunds
Users may cancel their subscriptions at any time by sending an email to info@whatbizz.com. No refunds will be provided for partial months or years of unused service.
7. Intellectual Property Rights
All intellectual property on the Platform, including software, graphics, and data, is owned by WhatBizz or its licensors. Users are granted a non-exclusive, non-transferable, revocable license to use the Services for personal or internal business purposes.
8. Compliance with WhatsApp Policies
Users must adhere to WhatsApp Business API terms and policies, including:
- WhatsApp Business Policy
- WhatsApp Business Solution Terms
- WhatsApp Commerce Policy
9. Amendments to Terms
WhatBizz reserves the right to update this Agreement at any time. Continued use of the Services after updates constitutes acceptance of the revised terms.
10. Limitation of Liability
WhatBizz will not be liable for any damages caused by interruptions or changes in WhatsApp Business API services. Users acknowledge the dependency on third-party services and agree to bear associated risks.
11. Governing Law
This Agreement is governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts in Mumbai.
